General Terms
Supplementary Terms and Conditions of Sale and Delivery for Commercial Customers in Agatha's Tee-Club
We, Wollenhaupt Tee GmbH, refer at this point to our regular terms and conditions. These continue to apply. The following provisions apply exclusively to the conclusion of a membership in Agatha's Tee-Club as a supplement to our regularly applicable General Terms and Conditions.
I. Conclusion of contract
The information in our offers is subject to change. The contract for the selected membership is concluded when written confirmation of the membership order is received by the customer from Wollenhaupt or the customer has received the first package of his membership.
II. Annual Membership
1. If a customer takes out an annual membership, he will receive a one-off starter package in addition to the monthly package.
2. the customer will also receive access to a protected portal on the Wollenhaupt website where exclusive promotional material will be made available.
III. Trial Membership
1. The customer may take out a one-off trial membership for 3 months. The one-time starter package as well as access to the protected portal and the exclusive advertising material shall only be acquired by the customer after the annual membership has been concluded.
2. If the trial membership is not cancelled by the middle of the third month, it is tacitly extended by nine months to an annual membership. The customer thus acquires an annual membership (comprising a total of 12 months) including the benefits associated therewith.
IV. Termination
1. The membership must be terminated within 3 months of the end of the annual contract period.
2. Wollenhaupt reserves the right to extend the annual membership if the customer's notice of termination is not received in due time. The customer thus automatically concludes a further annual membership in the event of non-cancellation.
V. Delivery
1. The Monthly packages will be delivered by Wollenhaupt Tee GmbH, Gutenbergstraße 33-35, 21465 Reinbek, Germany, to the delivery address provided by the customer.
2. The monthly packages are expected to reach the customer by the 7th working day of the current month. If a customer concludes the membership in a current month, the first delivery of the package will take place in the following month. This applies regardless of the day in a month on which the membership is concluded. Unless delivery dates and deadlines have been expressly agreed otherwise, they shall apply ex works and are non-binding.
3. There are no additional delivery costs for the customer for the delivery of the starter package and the monthly packages.
4. The packages can be delivered by Wollenhaupt together with ongoing orders of the customer and are visually marked as Agatha's Tea-Club package.
VI. Payment
1. The monthly membership fee is 16,90 EUR plus VAT.
2. The monthly fee includes the delivery costs within Germany and Austria.
3. Upon delivery of the monthly packages, the customer will receive an invoice issued by Wollenhaupt, which is to be paid according to the known payment terms.
4. If a customer is unable to pay on time, we will send a legal reminder. If the customer fails to meet his payment obligations even after repeated reminders, Wollenhaupt reserves the right to terminate the customer's membership and to exclude him from receiving further monthly packages.
5. Furthermore, all provisions on payment terms, offsetting and the right of retention in our General Terms and Conditions shall apply.
VII. Repeat order
1. Upon the first repeat order of the tea from the respective monthly package within 6 weeks of receipt, Wollenhaupt shall grant the customer a discount of 10% in addition to any further discounts. There are no minimum order quantities for the first repeat order. The discount applies once and only to the respective variety from the monthly package.
2. For orders after the 6-week period, the regular prices apply.
